1. The agreement
These Terms of service (the “Terms”) are a contract between Comver sp. z o.o. (“Comver”, “we”, “us”) and the business on whose behalf you install the Comver OS Shopify app, create a Comver account or otherwise use the Service (“Customer”, “you”). By installing the app, clicking “Open Comver”, creating a workspace, accepting a team invitation or using the Service, you confirm that you are authorised to bind that business and that it accepts these Terms.
The Service is offered to businesses only. If you are acting as a consumer, or your local law treats you as one, do not use the Service. If you and Comver have signed a separate order form, engine package agreement or master agreement, that document prevails over these Terms where they conflict.

2. Definitions
- “Service” — the Comver workspace on the Comver domain, the Comver OS Shopify app and its theme app extension, the App Proxy pages it serves on your storefront, Callio, the AI agents (Copilot, Personalization, Creator, Ads, Competition), the revenue modules, revenue engines, Reports, Settings, and any related APIs, documentation and support.
- “Store” — a Shopify store you connect to the Service.
- “Workspace” or “Organization” — the Comver account space that owns one or more Stores and to which you invite teammates.
- “Customer Data” — everything the Service reads from your Store or records for it: store records, behaviour events, Callio calls, messages and transcripts, and content you upload.
- “Shopper” — a visitor to or customer of your Store.
- “Modules” — the storefront revenue modules (Bundling & Upsells, Cart Rewards, Offers & Rewards, Subscribe & Reward, Trust AI, Sticky ATC and the Customer Dashboard) rendered through the theme app extension.
- “Plan” — a Starter or Pro subscription, or a one-time revenue-engine package, as described in section 5.
- “Beta” — any feature the Service labels Beta, preview, coming soon or similar.
3. Accounts, workspaces and teams
- Eligibility and accuracy. You must be at least 18 and provide accurate account, organization and contact details, and keep them up to date.
- Sign-in. You may sign in with your Store’s Shopify identity from the app (no password), with Google or Apple, or with a work email and password. You are responsible for keeping credentials and invite links confidential and for everything done under your accounts.
- Roles. A Workspace has one owner, and may have admins and members. Owners and admins can invite; only the owner can remove people. Everyone in the Workspace sees the same Stores and reports. You are responsible for who you invite and for the actions they take.
- Invitations. Invite links expire after 7 days. Where no invite email can be sent, the link is shown to you for manual sharing; treat it as a credential.
- One Workspace per business. The Starter plan is for one connected Store. Do not create multiple Workspaces to work around plan limits.
4. Shopify connection and permissions
The Service is delivered through the Comver OS Shopify app, which is a connector: Shopify holds the install, the access token, the theme app extension and the storefront widgets, and the product runs in the Comver workspace.
- Permissions. At install you grant the Shopify permissions the Service requests — currently read and write for customers, products, purchase options and themes; read for orders; write for discounts and files. We only request the permissions required to run the modules you activate, and the granted scopes are listed in Settings › Shopify integration. If we need a new permission for a new feature, Shopify will ask you to approve it.
- What we do with them. You authorise Comver to read your Store, to synchronise customers, to render widgets through one app embed you switch on in the theme editor, to create the discount codes a module or Callio offers, to publish files and templates you ask it to (default Shopify templates are never overwritten), and to tag customers or create subscription contracts where you use those features.
- Your storefront stays yours. Modules are configured in Comver, not the theme editor, and can be switched off at any time. Actions Comver takes on the storefront are recorded and reversible; high-risk areas always stay manual.
- Shopify’s terms. Your use of Shopify, Shopify Billing, the App Store and Shopify’s protected customer data is governed by Shopify’s own agreements. Some features (subscription contracts, the Customer Dashboard) additionally depend on Shopify approving the relevant protected-data access for the app.

- Billing stays in Shopify. Charges and plan approval are managed by Shopify Billing; Comver only stores the plan identifier and billing status needed to enforce product access. You approve each charge on Shopify’s screen. On the public audit funnel outside Shopify, card payments are processed by Stripe.
- Trial. The Starter trial lasts 14 days from approval and converts to a paid subscription unless you cancel before it ends. One trial per Store.
- Renewal and cancellation. Subscriptions renew every 30 days until cancelled. Cancel anytime from your Shopify Admin (Apps) or by uninstalling; cancellation takes effect at the end of the current billing period and periods already started are not refunded.
- One-time packages. Revenue-engine packages are one-time charges for a storefront system delivered as a theme, module configuration and implementation services. Because delivery starts on activation, they are non-refundable once the charge is approved, unless we fail to deliver the package as described in your order.
- Taxes. Prices exclude VAT, sales tax and similar; Shopify or Stripe adds them where applicable, and you are responsible for any withholding.
- Price changes. We may change prices for future periods with at least [30] days’ notice by email or in the workspace; continued use after the change takes effect is acceptance. Prices already approved for a one-time package do not change.
- Non-payment. If Shopify reports a charge as declined or frozen we may restrict paid features until it is settled.
Plan limits are the code’s truth
The feature list in the workspace’s Billing tab is authoritative for what your plan includes. Where marketing copy and the Billing tab differ, the Billing tab wins.
6. Callio, messaging and telephony
Callio places calls, sends SMS and sends email to your Shoppers on your instructions, from phone numbers your Store buys through the Service and sending domains you verify. Voice runs through ElevenLabs, SMS and numbers through Twilio, email through Resend. Because you decide who is contacted and what is offered, you are the sender of every message and the party responsible for its lawfulness.
6.1 You agree to
- Obtain and record any consent required for automated or marketing calls, SMS and email under the laws that apply to you and your Shoppers (including GDPR and national ePrivacy rules in the EU, the TCPA, CAN-SPAM and state law in the US, and equivalent laws elsewhere), and to keep the Service’s consent gates on unless you have another lawful basis.
- Give any notice the law requires at the start of a recorded call, respect quiet hours and do-not-call registers, and honour opt-outs — the Service adds STOP instructions to SMS and a signed unsubscribe link to marketing email, and keeps a suppression list; you may not remove destinations from it to contact them again.
- Use only numbers and domains you own or are entitled to use, complete carrier registration or verification when asked, and respect the warm-up caps applied to new numbers.
- Set Callio’s script, offers and discount caps truthfully. Callio never fabricates product facts, ingredients, reviews or medical claims and never takes payment; you may not configure it to do otherwise or to impersonate a person or another business.
- Provide a way for a Shopper to reach a human at your Store when Callio hands a conversation over.
6.2 We may
- Suspend a number, domain, campaign or the messaging channels of a Store, immediately and without liability, where we receive carrier or provider complaints, see abuse or spam signals, or reasonably believe messaging is unlawful; we will tell you and work with you to restore service.
- Pass through carrier, provider and regulatory fees and surcharges attributable to your usage.
Attributed Callio revenue is counted from orders that followed a Callio email or SMS; calls carry no attribution of their own. Recoverable figures shown before a campaign has run are estimates and are marked as such (≈).
7. AI features and outputs
Parts of the Service generate content or recommendations with large language models: Copilot’s scan, brief and chat, Callio’s conversations, Creator’s product pages and CRO variants, Trust AI’s drafts, translations and summaries, persona summaries, and Autopilot on Comver-controlled modules.
- Outputs are probabilistic. They may be inaccurate, incomplete or unsuitable for your context. You must review AI-generated content before publishing it on your storefront or sending it to a Shopper, and you are responsible for it once you do — including product claims, pricing, legal statements and anything relating to health or safety.
- Estimates are labelled. Where the Service shows an estimate (recoverable revenue, typical uplift ranges, a CRO score target) it says so. Estimates are not a promise of results, and no revenue, conversion, ranking or cost outcome is guaranteed.
- Autopilot is bounded. Autopilot executes only within the policy you configure, only on Comver-controlled modules, keeps high-risk areas manual, writes every action to an audit trail and lets you pause or revert at any time. You remain responsible for the policy you set.
- Provider terms. Model providers (OpenAI, Anthropic, ElevenLabs) apply their own usage policies; you may not use the Service to generate content those policies prohibit.
- Similar outputs. AI outputs may be similar to those generated for other customers; you get no exclusivity over an output’s style, structure or wording.
8. Acceptable use
You may not, and may not allow anyone else to:
Break the law
Use the Service in violation of any law, including privacy, consumer-protection, telemarketing, anti-spam, competition and export laws.
Spam or deceive
Send unsolicited or misleading messages, spoof senders, hide the identity of your Store, or run fake reviews or fabricated proof.
Attack the Service
Probe, scan or test the vulnerability of the Service, bypass rate limits or plan gates, or interfere with other customers’ use.
Misuse the scanners
Point Competition or the storefront scan at sites you may not lawfully monitor, or use scan output to harass, defame or infringe.
Reverse-engineer or resell
Copy, modify, decompile or create derivative works of the Service, or resell it, unless we agreed in writing (agencies: talk to us).
Handle sensitive data
Send us special-category data (health, biometric, political or similar) or payment card numbers through the Service; it is not designed for them.
Where the Service imposes limits (for example 10 numbers or 5 sending domains per Store, module counts by plan, warm-up caps), those limits are part of the Service and you agree to respect them.
9. Customer data and privacy

- Storefront visitors tracked by the Behaviour embed

- Reviews, subscriptions and account data served through the App Proxy
- You own Customer Data. You grant Comver a non-exclusive, worldwide licence to host, copy, process, transmit and display Customer Data as needed to provide, secure and improve the Service and to comply with the law. We may produce aggregated, de-identified statistics from Customer Data that cannot identify you or any Shopper.
- Roles. For Shopper data Comver is your processor (or “service provider”) and processes it only on your documented instructions; for your account and workspace data Comver is the controller. Our Privacy policy describes both, and our data processing agreement (DPA), with the EU Standard Contractual Clauses, is available on request and forms part of these Terms once signed.
- Your privacy notice. You are responsible for having a privacy and cookie notice on your Store that covers Comver’s processing — the behaviour embed, the modules and Callio — and for a lawful basis for it.
- Sub-processors are listed in the Privacy policy; we will notify DPA holders before adding one that processes Shopper data.
- Deletion. Uninstalling the app removes the theme embed and stops all storefront tracking and modules. Your data remains available in the app for 30 days, then it is deleted; Shopify’s
shop/redactandcustomers/redactrequests are honoured when received. You can ask for an export before then.
10. Intellectual property and feedback
- Comver and its licensors own the Service, including its software, agents, orbs, designs, templates, documentation and trademarks (“Comver”, “Callio”, “Comver OS”). These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your own business during the term. No other rights are granted.
- Content the Service generates for you (product-page copy, images, review drafts, scripts) is yours to use in your Store once you have reviewed and published it, subject to section 7 and to third-party rights in any input you supplied.
- Theme files and templates delivered as part of a revenue-engine package are licensed to the Store they were bought for; you may modify them for that Store but not redistribute them.
- If you send us feedback or suggestions we may use them without obligation to you.
11. Beta features and changes to the Service
Features labelled Beta in the Service — at the date of these Terms the Creator, Ads and Competition agents — are provided as-is for evaluation. They may be incomplete (for example an ad-platform connector or a scheduled scan that is not yet wired), may change or be withdrawn without notice, and are excluded from any service commitment. Do not rely on Beta output for decisions you cannot reverse.
We improve the Service continuously and may add, change or retire features. If a change materially reduces the core functionality of your paid Plan we will tell you at least [30] days in advance and you may cancel for a pro-rata refund of prepaid, unused subscription fees.
12. Third-party services
The Service depends on Shopify, Shopify Billing, ElevenLabs, Twilio, Resend, OpenAI, Anthropic, Stripe, Google and Apple sign-in and hosting providers. Their availability, terms and fees are outside our control; where a third party changes or withdraws a service we will use reasonable efforts to provide an alternative but are not liable for the change. Carriers may filter or delay messages; deliverability is not guaranteed.
Comver does not integrate with Klaviyo or other marketing platforms unless the Service says so; references to them are comparisons, not connections.
13. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care and substantially as described in the workspace. Otherwise, to the fullest extent permitted by law, the Service is provided “as is” and “as available”, and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement and any warranty arising from course of dealing. In particular we do not warrant that the Service will increase your revenue, conversion, average order value or lifetime value, that AI output will be accurate, or that messages will be delivered. Typical uplift ranges shown in the Service are illustrative and labelled “typical, not measured” until measured on your Store.
14. Limitation of liability
To the fullest extent permitted by law:
- Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business interruption, however caused.
- Comver’s total aggregate liability arising out of or relating to the Service or these Terms in any 12-month period is limited to the fees you paid to Comver for the Service in the 12 months before the event giving rise to the claim (or, for a one-time package, the price of that package).
- Nothing limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, or anything else that cannot be limited by law. Nothing limits your payment obligations or either party’s liability under section 15.
15. Indemnity
You will defend and indemnify Comver, its affiliates and personnel against third-party claims, fines and reasonable costs arising from (a) your Customer Data or your Store, (b) messages Callio sent on your instructions or with your settings, including claims under telemarketing, anti-spam, recording or privacy laws, (c) content you published from AI output, or (d) your breach of these Terms or the law. Comver will defend and indemnify you against third-party claims that the Service, used as permitted, infringes their intellectual property rights, and may in that case modify or replace the Service or refund prepaid, unused fees and terminate. Each party will notify the other promptly, give reasonable cooperation and let the indemnifying party control the defence.
16. Term, suspension and termination
- Term. These Terms apply from the moment you first use the Service and continue until your Workspace is deleted and all Stores are disconnected.
- By you. Cancel a subscription from Shopify Admin at any time; uninstall the app to disconnect a Store; ask us to delete your Workspace.
- By us. We may suspend or terminate the Service, or any part of it, if you breach these Terms and do not cure within [14] days of notice (immediately for serious breaches such as unlawful messaging, security abuse or non-payment), if required by law or by Shopify, or if we discontinue the Service on [90] days’ notice with a pro-rata refund of prepaid, unused subscription fees.
- Effect. On termination your right to use the Service ends, the theme embed is removed, storefront tracking and modules stop, and your data remains available in the app for 30 days for export before it is deleted. Sections that by their nature should survive (payment, data, IP, disclaimers, liability, indemnity, law) survive.
17. Governing law and disputes
These Terms are governed by the laws of Poland, without regard to conflict-of-law rules, and the United Nations Convention on Contracts for the International Sale of Goods does not apply. The courts of Warsaw, Poland have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court to protect its intellectual property or confidential information. Before starting proceedings, the parties will try in good faith to resolve the dispute through their executives within [30] days of written notice. 18. General
- Changes to these Terms. We may update these Terms; the date at the top shows the current version. Material changes are notified to Workspace owners by email or in the workspace at least [30] days before they take effect. Continued use after that date is acceptance; if you object, stop using the Service and cancel from Shopify Admin.
- Notices to Comver go to legal@comver.io or by post to the registered office; notices to you go to the Workspace owner’s email or appear in the workspace.
- Assignment. You may not assign these Terms without our consent; we may assign them to an affiliate or a successor to our business.
- Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including carrier, provider or Shopify outages.
- Publicity. We may name you as a customer and use your logo in a list of customers unless you tell us not to; case studies require your written approval.
- Entire agreement; severability; waiver. These Terms, the Privacy policy, the Cookie policy, any DPA and any order form are the whole agreement between us. If a provision is unenforceable the rest stands. A waiver must be in writing.
- Language. These Terms are written in English; a translation is for convenience and the English text prevails.
